Legal Notice

This Legal Notice identifies the company responsible for operating the Sky Pergola online store for the United Arab Emirates, sets out the principal pre-purchase information for orders placed through it, and explains your rights under UAE law. It applies together with our Terms of Service, Privacy Policy, Shipping Policy and Returns & Refunds Policy.

Operator and legally responsible seller

The Sky Pergola store for the UAE market is operated by:

A UAE establishment and trade licence are currently in formation. Until that registration is complete, the company named above is the contracting party and the legally responsible seller for all orders placed through this store. Our UAE trade-licence number and UAE Tax Registration Number (TRN) will be shown here once our UAE registration is complete.

Pre-purchase information

Before you place an order, the store shows you the essential characteristics of the product, the total price in UAE Dirhams (AED) including any applicable VAT, the payment terms, the delivery and assembly arrangements, the expected lead time, and your rights and our policies on returns, defects and warranty. By proceeding to checkout you confirm that this information has been made available to you. An Arabic version of our consumer terms is available on request.

Prices, VAT and invoicing

All prices are shown in UAE Dirhams (AED) and are inclusive of 5% UAE Value Added Tax where VAT applies, in line with Article 38 of Federal Decree-Law No. 8 of 2017 (as amended by Federal Decree-Law No. 18 of 2022). We will never charge more than the price displayed at the time of your order. There is no surcharge for paying by card and there are no hidden fees; assembly, delivery and any other costs are shown separately before you order.

A valid, dated Tax Invoice is issued for your order. Once our UAE registration is complete, the invoice will show our UAE TRN. Where a refund is due, it includes the VAT element and is processed by way of a Tax Credit Note. Any non-refundable cancellation fee that may apply is itself stated inclusive of VAT.

Electronic contract

By clicking to accept our terms and completing checkout, you enter into a binding contract with us. Electronic contracts and click-to-accept agreements are valid and enforceable under Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services. For agreed offers, a written order confirmation by email is decisive for the scope and execution of the order.

Standard and custom-made pergolas

A pergola is treated as a standard model when it meets all of the following: a standard size (3×3 m to 7×7 m, full metres only), standard height of 2.52 m, colour RAL 7016 Anthracite, and free-standing design. Standard models are usually available from stock.

A pergola is treated as a custom-made product if at least one of the following applies: a special size, a special height, the colour White (RAL 9016) or another special colour, wall mounting, or other structural modifications. Custom-made products have a longer production lead time, which is confirmed at the time of order.

Returns and cancellations

UAE law does not give online buyers a "cooling-off" period or any automatic right to return or cancel goods for change of mind. Other than the 24-hour cancellation right and the discretionary goodwill below — and your mandatory statutory rights for defective goods — all sales are final. Full terms are in our Returns & Refunds Policy.

We are not obliged to accept change-of-mind returns. As a goodwill gesture only, we may at our sole discretion and with our prior written approval accept the return of a standard stock item, requested within 14 days of receipt, where the goods are new, unused, complete and in their original undamaged packaging with no trace of assembly, use or weather exposure. The customer bears all return packaging, transport and shipping costs and the risk of the return; after a flawless inspection on arrival, the purchase price is refunded less a 10% cancellation and restocking fee (inclusive of 5% UAE VAT where VAT applies).

Custom-made products, and pergolas that have already been installed, are made to your specification and are therefore excluded from change-of-mind returns. This exclusion is disclosed before purchase. It does not in any way affect your statutory rights where goods are defective, as set out below.

For standard stock pergolas, an order may be cancelled free of charge within 24 hours of ordering, in writing by email, provided it has not yet been shipped or put into production. After that period but before delivery, cancellation of a standard order is possible against a compensation for expenses of 10% of the purchase price; this fee is stated inclusive of VAT and may, under the UAE Civil Code, be adjusted by a UAE court to reflect the actual loss incurred. Custom-made products cannot be changed or cancelled once production has started. None of these cancellation terms applies to your defect rights below, where no cancellation or restocking fee may be charged.

Your rights if goods are defective

The following statutory rights apply in addition to, and override, any of the commercial terms above. They cannot be waived. If goods are defective, damaged on delivery, unsafe, not as described, or not delivered as agreed, you are entitled to repair, replacement or a full refund at no cost to you, under Article 12 of Federal Law No. 15 of 2020 on Consumer Protection and its Executive Regulation (Cabinet Decision No. 66 of 2023), together with Federal Decree-Law No. 14 of 2023 on Trading by Modern Technological Means.

  • No restocking, cancellation or similar fee may be applied to a defective-goods remedy.
  • If a repair takes 14 days or more, we will provide an equivalent product to use in the meantime.
  • If the same defect recurs within the first year, you may choose a full refund or a replacement.

Delivery, collection and assembly

Delivery is made by carrier to the address you specify, across the United Arab Emirates, to the kerbside or parking area; carrying the goods into the premises is not part of the delivery. Where assembly has been agreed, one visit to the site is included in the agreed price; any further visits are charged separately. You are responsible for ensuring that the foundations are correctly prepared, the ground is level and load-bearing, a power connection is available, and access to the site is guaranteed; additional costs arising from insufficient preparation are invoiced separately. Obtaining any required permits is your responsibility. Estimated delivery dates are given in good faith; where a delivery date has been agreed and is not met, your rights under UAE law are unaffected.

Terms of payment

For private customers, payment is generally split into a 50% deposit on order and a 50% final payment before delivery or assembly. Different payment models can be agreed in writing. Invoices are payable net within 10 days. The available payment methods are shown at checkout.

Inspection and notice of transport damage

Please inspect the goods immediately upon receipt. Transport damage must be reported to the carrier immediately and additionally notified to us in writing within 48 hours of receipt, together with clear photos of the damage. We will examine the damage promptly and offer a suitable solution. This notice requirement does not limit your statutory defect rights set out above.

Warranty

In addition to your statutory rights, we grant the following warranty periods:

  • 10 years on the aluminium construction;
  • 4 years on moving parts;
  • 2 years on electrical components.

The warranty covers defects in materials and manufacture of the product. Excluded are damage from normal wear and tear, improper assembly, tampering, and force majeure or storm damage. Warranty work is only carried out on the freely accessible product. Where we repair or replace an item under warranty, the warranty for that item restarts from the date you receive the repaired or replacement item. Required spare parts are supplied within 7 days where they are regularly stocked, and otherwise within 14 days. Transfer of benefit and risk; reservation of title

Where the goods are delivered, benefit and risk pass to you when the goods leave the warehouse. Where assembly has been agreed, the transfer takes place upon your acceptance. Ownership of the goods passes to you on full payment; until then, title remains reserved to us so far as permitted by UAE law.

Liability

Our liability is limited to the maximum extent permitted by UAE law. Nothing in these terms excludes or limits liability that cannot be excluded under UAE law, including liability for fraud, gross negligence, death or personal injury, or your mandatory rights as a consumer. Any pre-agreed compensation figure may be adjusted by a UAE court to reflect the actual loss, in accordance with the UAE Civil Code (Federal Law No. 5 of 1985). Minor deviations in colour, structure or dimensions are deemed accepted, provided that fitness for use is not significantly impaired.

Data protection

The data controller for personal data collected through this store is Spa Solutions GmbH (details above), until our UAE entity is registered. We process your personal data on the lawful basis of performing the contract for your order, delivery, installation and after-sales support, and, separately, on the basis of your consent for marketing (a distinct opt-in that you may withdraw at any time). This handling is in line with Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL); the supervisory authority is the UAE Data Office.

Under the PDPL you have the right to be informed, to access your data, and to rectification, erasure, restriction, objection, data portability, and to object to decisions based solely on automated processing. To exercise any of these rights, contact us using the UAE customer contact details above.

We use processors to provide the service, including Shopify (online store hosting), and our payment, shipping, installation and analytics providers. Providing your order involves transferring personal data outside the UAE, including to Switzerland and the EU and to Shopify. We make these cross-border transfers in reliance on Articles 22 and 23 of the PDPL, on the basis that the transfer is necessary to perform your contract, is covered by your express consent, and is protected by appropriate contractual safeguards (including standard contractual clauses); we do not rely on any UAE adequacy listing for the destination, as none has been published. We apply appropriate technical and organisational security measures, including encryption in transit and access controls, and we will notify the UAE Data Office and affected customers of any personal-data breach where required.

Complaints and consumer authorities

If you have a concern, please contact us first using the details above so that we can resolve it directly. If your complaint is not resolved, you may contact the UAE Ministry of Economy consumer protection service (consumer hotline 600-522-225, consumerrights.gov.ae) and the Dubai Department of Economy & Tourism (DET) consumer protection.

Governing law and jurisdiction

These terms and any order placed through this store are governed by the laws of the United Arab Emirates, and the competent onshore courts of Dubai, UAE, have jurisdiction. Nothing in these terms removes your mandatory rights under UAE Consumer Protection Law; where any clause conflicts with your mandatory rights as a consumer under UAE law, those rights prevail.
